1. Acceptance and Scope
These Terms of Use ("Terms") govern your access to and use of the Spectrum Data Ltd ("Spectrum", "we", "us", or "our") website at https://spx-dt.com, including its content, language selector, contact form, and related features (collectively, the "Website").
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
These Terms apply only to the Website. They do not govern consulting, implementation, support, managed services, software, data, deliverables, or other work that Spectrum may provide under a separate proposal, statement of work, order form, or written agreement. If there is a conflict between these Terms and a signed agreement for Spectrum services, the signed agreement governs the services covered by that agreement.

We may update these Terms when the Website, our practices, or applicable law changes. The revised Terms will be posted on this page with a new Last Updated date. Changes apply from the date they are posted, unless the updated Terms state otherwise.
Your continued use of the Website after revised Terms take effect means that you agree to the revised Terms. This does not limit any notice or consent rights that cannot be waived under applicable law.
3. Website Information Is General
The Website provides general information about Spectrum, its experience, and the types of services and solutions it may offer. Website content is provided for general business and informational purposes only.
Website content is not professional, legal, tax, accounting, financial, security, or other regulated advice. It is not a binding offer, quote, commitment, guarantee, representation that a particular service is suitable or available, or promise of a particular business or technical result. You should obtain advice appropriate to your circumstances and independently evaluate decisions based on Website content.
Submitting the contact form or communicating with Spectrum through the Website does not, by itself, create a client, advisory, fiduciary, employment, partnership, agency, or other contractual relationship.
4. Permitted Use
Subject to these Terms, Spectrum grants you a limited, non-exclusive, non-transferable, revocable permission to access and use the Website for lawful personal or internal business informational purposes.

- interfere with, disrupt, overload, damage, or attempt to gain unauthorized access to the Website, its hosting, security, accounts, systems, or networks;

- impersonate Spectrum, a Spectrum representative, or another person or organization;

- assist or attempt to assist another person in doing any of the above.
We may restrict or block access to protect the Website, Spectrum, service providers, or other users, or to respond to suspected misuse.
5. Contact Form and Submitted Information
If you submit information through the contact form, you agree that:
- the information is accurate to the best of your knowledge;
- you have authority to provide it and to communicate on behalf of any organization you identify;
- it does not infringe another person's rights or violate a duty of confidentiality; and
- it does not contain malware, unlawful material, or sensitive or confidential information that is unnecessary for the inquiry.
You retain ownership of information you submit. You grant Spectrum a limited, non-exclusive permission to receive, copy, store, transmit, review, and use that information only as reasonably necessary to respond to and manage the inquiry, protect the Website, comply with law, and exercise legal rights. Our handling of personal information is also governed by our Privacy Policy.
We are not required to accept, respond to, or retain every submission. Spam, abusive submissions, and apparent security threats may be filtered, blocked, or deleted.

"Spectrum", Spectrum's logo, and related names, marks, designs, and slogans may be trademarks of Spectrum or their respective owners. No licence to use a trademark is granted except through Spectrum's prior written permission or as permitted by law.
Third-party names, products, trademarks, and logos appearing on the Website remain the property of their respective owners. Their appearance does not imply an endorsement, partnership, or other relationship unless the Website expressly states one using approved content.
7. Third-Party Websites and Services
The Website may link to or display content delivered by third-party websites and services, including social-media, media-hosting, and content-delivery services. Third parties operate under their own terms and privacy policies.
Spectrum does not control and is not responsible for the availability, security, accuracy, content, products, services, or information-handling practices of third-party websites or services. A link does not imply endorsement. You access third-party services at your own discretion and should review their applicable terms and policies.
8. Privacy and Cookies
Our Privacy Policy explains how the Website collects, uses, discloses, retains, and protects personal information, including contact-form information, technical request data, and the first-party language-preference cookie.
These Terms incorporate the Privacy Policy by reference. If these Terms and the Privacy Policy address the same privacy matter differently, the Privacy Policy governs that matter.
9. Website Availability and Security
We may modify, suspend, withdraw, restrict, or discontinue all or part of the Website without notice. We do not guarantee that the Website, any page, translation, media, link, or feature will always be available, uninterrupted, secure, current, complete, or error-free.

Spectrum disclaims, to the fullest extent permitted by law, implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, and freedom from harmful components.
Nothing in these Terms excludes a warranty, condition, right, or remedy that applicable law does not permit the parties to exclude.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Spectrum and its directors, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings, use, or data, arising from or relating to the Website or these Terms, even if advised that such loss was possible.
To the fullest extent permitted by law, Spectrum's total aggregate liability arising from or relating to the Website or these Terms will not exceed the greater of: (a) the amount you paid Spectrum specifically for access to the Website during the twelve months before the event giving rise to the claim; and (b) CAD $100.
These limitations do not apply to liability that applicable law does not permit Spectrum to exclude or limit.
12. Indemnity
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Spectrum and its directors, officers, employees, contractors, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from your unlawful misuse of the Website, your material breach of these Terms, or information you submit in violation of another person's rights.
This Section does not require you to indemnify a party for that party's own negligence, wilful misconduct, or liability that cannot lawfully be transferred to you.
13. Governing Law and Disputes
These Terms and disputes arising from or relating to the Website will be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
Subject to any rights or remedies that cannot be waived under applicable law, the courts located in TBC (To be confirmed) will have exclusive jurisdiction over those disputes, and you and Spectrum submit to those courts.
14. General Provisions
If a provision of these Terms is found invalid, illegal, or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
Spectrum's failure to enforce a provision is not a waiver. A waiver is effective only if it is in writing and signed by Spectrum.
You may not assign these Terms without Spectrum's prior written consent. Spectrum may assign these Terms as part of a reorganization, financing, merger, sale, or transfer of its business or assets, subject to applicable law.
These Terms and the Privacy Policy are the entire agreement between you and Spectrum concerning use of the Website. They do not replace a separate signed agreement for Spectrum services.
